These Terms and Conditions ("Terms", "Agreement") govern your relationship with Dropndot Solutions ("us", "we", or "our") and apply to all visitors, clients, and users who access our website or engage our software development, web solutions, UI/UX design, mobile application development, and related digital services (collectively, the "Services").
By accessing our website or signing a project proposal, Statement of Work (SOW), or Service Agreement with us, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the website or utilize our Services.
1. Scope of Services
Dropndot Solutions offers end-to-end digital transformation and IT outsourcing services, including but not limited to:
- Web Design & Development (Custom PHP, Laravel, WordPress, Magento, Shopify, WooCommerce, .NET Core, Node.js, React, etc.)
- Custom Software & Mobile App Development
- UI/UX Design
- DevOps, Cloud Automation, Security, and Data Migration
- Support & Maintenance
Specific project deliverables, timelines, and costs will be defined in a separate Statement of Work (SOW) or Project Proposal agreed upon by both Dropndot Solutions and the Client. In the event of a conflict between these Terms and an individual SOW, the terms of the specific SOW shall prevail.
2. Our Proven Project Process
To ensure top-quality results, we follow a structured, 6-step collaborative process:
- Workshop: Brainstorming, competitor research, and deep analysis of your needs.
- Planning: Delivery of a complete project roadmap with detailed specifications.
- Design: UI/UX wireframes and asset creation aligned with your brand guidelines.
- Development: Frontend, backend, and integration using the Agile Scrum method.
- Testing: Comprehensive QA (manual, automated, security, load, and performance testing).
- Maintenance: Regular code backups, server auditing, and post-launch monitoring.
The Client agrees to actively cooperate and participate in scheduled reviews and feedback sessions required during these phases to prevent timeline delays.
3. Client Obligations
To ensure successful execution, the Client agrees to:
- Provide clear, accurate, and complete business requirements.
- Deliver necessary brand assets, text copy, imagery, API credentials, and third-party access in a timely manner.
- Review deliverables promptly during the Agile review cycles and testing phases. Delays in client feedback or material delivery will automatically extend project deadlines.
4. Fees, Invoicing, and Payments
- Pricing: Payment structures (fixed price or time & material) will be outlined in the individual SOW.
- Milestones: Projects are typically billed based on milestones (e.g., initial deposit before the Workshop phase, mid-project milestone upon Design/Development approval, and final balance prior to deployment/handover).
- Late Payments: Dropndot Solutions reserves the right to suspend work or pause active hosting/maintenance servers if an invoice remains unpaid past its due date.
- Taxes: All prices listed are exclusive of applicable local taxes, VAT, or digital transactional fees unless explicitly stated otherwise.
5. Intellectual Property (IP) Rights
- Our IP: All original material on the Dropndot Solutions website (text, logos, source code, graphics, layout) is the exclusive property of Dropndot Solutions and is protected by copyright laws.
- Project IP: Upon full and final payment of all outstanding invoices, ownership of the custom-built software, website code, and UI/UX design deliverables will be fully transferred to the Client.
- Pre-existing Frameworks: Dropndot Solutions retains all rights to its pre-existing proprietary tools, standard code libraries, plugins, and third-party open-source components (e.g., PHP, WordPress, Laravel structures) utilized during development. The Client is granted a non-exclusive, perpetual royalty-free license to use these embedded items within their specific application.
6. Confidentiality and Non-Disclosure
Both Dropndot Solutions and the Client agree to safeguard all proprietary business data, project blueprints, code secrets, financial information, and personal data disclosed during the engagement. Confidential information will not be shared with third parties without prior written consent, except where required by law.
7. Warranties and Disclaimers
- Service Standards: Dropndot Solutions warrants that all services will be executed professionally and in accordance with general industry QA guidelines.
- "As Is" Basis: Except as explicitly provided, our software and website deliverables are provided on an "as-is" and "as-available" basis. We do not warrant that third-party integrations (e.g., payment gateways, external APIs) will remain uninterrupted or error-free indefinitely if altered by external platforms.
- Warranty Period: Any bug-fixing or warranty periods post-launch will be clearly specified in the project contract. Extended support requirements fall under our standard Support & Maintenance packages.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Dropndot Solutions, its directors, employees, or partners shall not be liable for any indirect, incidental, special, or consequential damages. This includes but is not limited to loss of profits, data, server downtime, business interruption, or security breaches resulting from third-party server issues. In no event shall Dropndot Solutions' total liability exceed the total amount paid by the Client for the specific project or milestone causing the dispute.
9. Termination
- By Either Party: Either party may terminate a project contract with a 30-day written notice if the other party breaches a material clause and fails to cure it within that timeframe.
- Payment Upon Termination: In the event of termination before completion, the Client agrees to pay Dropndot Solutions for all documented hours logged and milestones successfully achieved up to the termination date.
10. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions. Any legal action or dispute arising out of or relating to our website or Services shall be submitted to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.
11. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will post the updated terms on this webpage and update the "Last Updated" date. Continued use of our website or engagement of our Services after changes are posted constitutes acceptance of the new Terms.
